>> Anti-corruption

a) Establishment of punishment and prevention system for anti-corruption & anti-bribery

The company established the punishment and prevention system for the anti-corruption, making clear the organizational structure, personnel concerned, department concerned and the work requirements. A conference of anti-corruption and advocacy of incorruptibility is held annually to build up the typical examples for incorruptibility and give alertness through the cases of corruption from the inside and outside of the company. Meanwhile, a phone and mailbox have been provided for employees to impeach the events of corruption and bribery. Employees are encouraged to impeach and disclose the actions of corruption and bribery that are against the laws, regulations and the company's bylaws.

b) Audit system and audit status

Internal Audit Work Procedure and COSCON Internal Control& Audit Implementing Rules are made, covering audit of financial revenues and expenditures, audit of economic liability, examination and comment of internal control system, audit of basic construction, audit of THC cost, audit of container administration cost, audit of ship maintenance fee, audit of elements for ship spare parts, and audit of management, etc. In 2005, the company totally spot-checked 32 settlement bills for the annual repair of the 32 ships with amount of RMB74.4824 million spot-checked for audit and amount of RMB1.9593 million reduced after audit. Meanwhile, it totally spot-checked 226 bills of the offer for the charge of the elements of 226 ships, with amount of RMB7.531 million spot-checked for audit and amount of RMB0.5891 million reduced after audit. Finally, it spot-checked 55 bills of the offer for the charge of the spare parts of 55 ships, with amount of RMB0.9192 million spot-checked for audit.

c) Anti-corruption education

In 2005, the company held the theme activity of “I go along with the enterprise, diligence and incorruptibility are kept in my mind” to help the leaders and cadres at various levels enhance the concepts of “refuse corruption and guard against deterioration” and “be diligent and incorruptible for the company” to further establish the atmosphere of incorruptibility in the company.

Each unit and department seriously organized and further mobilized employees to write the affecting events of diligence & incorruptibility and the sparking points around them into stories. The dramatis personae of these stories include the company leaders, diligent and incorruptible groups, common employees in the departments of operation, and even the seamen and employees for cargo collection at basic level. They were so vivid just like a breeze of maritime diligent and incorruptible wind was blowing around us. In order to let this breeze of diligent and incorruptible wind, which is like the fresh sea wind, blow into every corner throughout the company, twenty of the diligent and incorruptible stories were compiled into Diligent and Incorruptible Sea Wind – COSCON Diligent and Incorruptible Story Collection and published after careful modification and selection.

A tour was held for anti-corruption, advocacy of incorruptibility and prevention of duty crime. The contents of the tour were closely integrated with the situation and the practicality of the enterprise for design and layout, spanning 45 exhibition boards in total. The tour was launched in the headquarters and the subordinate units of the company respectively. Cadres above the business managers are required to visit it. Moreover, many employees visited the tour voluntarily.

An activity of caution education for corporation cases was held. As per the cases checked and settled by judicatory organs recently, the discipline committee of the company will further analyze the cases and write the case analysis for caution education.

The activity of incorruptible culture construction was launched. Based on the construction of the incorruptible culture in the previous two years, the construction of the incorruptible culture activity was continued this year and the work of edit and issue for the incorruptible culture on the Networking was well done. This year, total 80 issues of Window of Incorruptible Government were issued on the internal Networking for whole staff to learn.

d) Deepening of the anti-corruption examination work during management

Our company continued to further deploy the activity of “standardize management behavior, make management discipline serious” this year. Activities of “five ones” were organized. First, one self-check was arranged. The company arranged various management units including the joint ventures to deploy a self-check activity for the execution status of the management disciplines in June 2005. The coverage rate for the self-check reached 100%. Based on the self-check, four systems were self-perfected. Secondly, one secret inspection was made. Making use of the opportunities for the management discipline examination or audit work, the company deployed a trial secret inspection by seeking information of COSFRE's discipline execution status at some ports from banks and customers in the ways of interview and call investigation, etc. Thirdly, a communication activity was organized. The typical experience materials of the winning units for the paradigmatic execution of the management discipline from COSFREXM, COSFRENB, and COSFREWF were compiled into a volume and handed down to various departments and units of the company as the written communication material. Fourthly, a examination was made. From September to October 2005, the company organized three examination teams to deploy the examination on the management disciplines in 57 units (departments) including the various management departments (units), port subdivisions and branch companies. Finally, a handbook was written and compiled. In order to further standardize and perfect the management discipline examination work, improve the validity and pertinence of the examination work, the company's management discipline committee arranged and abstracted the corporation management bylaws based on the serious summarization of the work experiences in the past. Then the committee devoted all its attention to research on 60 supervision and control points for the corporation management discipline examination of the sixty items, and compiled them into a 27,000-word Management Discipline examination Manual, which covers regulation summarization, work responsibilities, winning unit standard, terms and supervision control points, etc.

>> Anti-monopoly

The company has always advocated fair competition and opposed the anti-competitive market behavior. As a large-sized MNC, our company will inevitably contact the international anti-monopoly regulations in the daily foreign economic trade. No matter the headquarters of the company or the oversea subsidiary companies and joint ventures always abide by the principle of sincerity and equality scrupulously, stick up for the anti-monopoly codes from various trade countries and insist on win-win cooperation to protect and benefits of consignors and related parties. The company and employees do not illegally elbow out the fair competition and legal business activities of rivals by any illegal means and do not fake and spread false facts to harm the business reputation of the rivals. In addition, the company and employees do not adopt illegal means to breach the rivals' business secrets. For years, the company has not been accused or complained for any illegal competition or monopoly behaviors.

>> Political contributions

Our company engages in business development based on the principle of fair competition instead of obtaining preferential treatment and benefits through Political Contributions. Furthermore, our company is against this kind of unfair competition.
